Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and TaLenX ("TaLenX", "we", "us", or "our") governing your access to and use of our candidate evaluation platform, web applications, browser extensions, APIs, and associated tools (collectively, the "Services").

If you are agreeing to these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the full legal authority to bind that entity to these Terms. If you do not possess such authority or do not agree to these Terms, you must not access or use the Services.

1. Acceptance & Modifications

By creating an account, installing our browser extension, accessing our web console, or using any part of the Services, you accept and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to revise or update these Terms periodically to reflect operational, product, or legal changes. Notice of material changes will be provided by updating the "Last updated" date at the top of this page. Your continued use of the Services after any changes signifies your acceptance of the modified Terms.

2. Description of Services

TaLenX provides technical candidate evaluation, resume competency analysis, fraud detection signals, and context-aware interview intelligence tooling designed for talent acquisition teams, recruiters, and engineering hiring managers. The Services may be accessed via web consoles, browser extensions, and integrated API endpoints.

3. User Accounts & Eligibility

• Eligibility: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and capable of forming a binding legal contract to use the Services.
• Account Accuracy: You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of your account information.
• Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and generated API keys. You agree to notify us immediately of any unauthorized use or security breach related to your account.

4. License Grant & Permitted Use

Subject to your ongoing compliance with these Terms, TaLenX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for internal candidate evaluation and hiring operations.

5. Prohibited Activities

You agree not to engage in any of the following prohibited actions:

• Reverse engineer, decompile, disassemble, or attempt to derive the underlying algorithms, source code, or heuristics of the Services.
• Scrape, crawl, or harvest data from the Services through automated bots, scrapers, or unauthorized scripts without explicit written permission.
• Bypass, circumvent, or disable any security controls, rate limiters, or authentication mechanisms protecting the platform.
• Upload or transmit documents containing viruses, malware, trojans, or harmful code.
• Use the platform in any manner that violates applicable labor, employment, anti-discrimination, or fair hiring laws.
• Resell, sublicense, distribute, or commercially exploit access to the platform to third parties without authorization.
• Submit fabricated candidate data or documents obtained unlawfully or without necessary permissions.

6. Candidate Data & Recruiter Responsibilities

In connection with any resumes, applicant profiles, or job descriptions submitted to the Services ("Candidate Data"):

• Data Controller Status: You acknowledge that your organization acts as the Data Controller with respect to all Candidate Data submitted, and TaLenX acts strictly as a Data Processor performing services on your behalf.
• Lawful Basis & Consent: You represent and warrant that you possess all necessary rights, lawful authority, and candidate notices/consents required to upload and process Candidate Data through our Services.
• Compliance with Hiring Laws: You are solely responsible for ensuring that your recruitment, applicant screening, and hiring practices comply with all local, national, and international labor and anti-discrimination regulations.

7. Billing, Credits & Non-Refundable Policy

Access to certain tiers, features, or evaluation capacities of the Services may be subject to purchased credits, usage tiers, or subscription passes.

• Payment Processing: Transactions are handled securely via third-party payment gateway providers. You agree to pay all applicable fees and taxes associated with your account in the stated currency.
• Strict No-Refund Policy: All purchases, credit allocations, and subscription passes are final and strictly non-refundable to the maximum extent permitted by applicable law. Credits are consumed upon initiating candidate evaluations and cannot be refunded, transferred, or exchanged for cash once an evaluation cycle has executed.
• Price & Tier Changes: We reserve the right to revise our fee structures or feature availability at any time, with reasonable advance notice where applicable.

8. Automated Evaluation & Hiring Decisions Disclaimer

• Sole Customer Responsibility: The platform outputs are automated analytical tools provided to assist your organization's recruitment workflows. All final employment decisions, hiring choices, interview invitations, compensation determinations, and applicant rejections remain the sole and exclusive responsibility of your organization.
• No Professional Advice: TaLenX does not provide legal, human resources, labor relations, or regulatory compliance advice. You are solely responsible for ensuring your organization's recruitment criteria and employment decisions satisfy all applicable jurisdictional laws.
• No Performance Warranty: An affirmative automated evaluation, verification score, or badge generated by the Services does not guarantee candidate accuracy, competency, or future on-the-job performance.

9. Intellectual Property Rights

As between you and TaLenX:

• TaLenX Ownership: We retain all right, title, and interest in and to the Services, including all proprietary software, algorithms, user interfaces, branding, trademarks, logos, and technical documentation.
• Customer Ownership: You retain ownership of your proprietary job descriptions and candidate materials submitted to the Services. You grant TaLenX a limited license to process such materials strictly to deliver the requested candidate evaluations.
• Feedback: If you submit feedback, ideas, or feature suggestions, we may use such feedback without obligation, compensation, or restriction.

10. Warranty Disclaimer & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TALENX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES.

TALENX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO TALENX IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR INR ₹1,000, WHICHEVER IS LESS.

11. Indemnification

You agree to defend, indemnify, and hold harmless TaLenX and its operators, affiliates, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) any Candidate Data or materials you submit; (c) your breach of applicable labor, employment, or privacy laws; or (d) any hiring or employment decisions made by your organization.

12. Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Services immediately, with or without notice, if you breach these Terms, engage in fraudulent activity, or create operational or security risks for the platform.

You may terminate your account at any time by contacting us. Upon termination, your right to access the Services immediately ceases, and outstanding non-refundable balances remain subject to Section 7.

13. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

You irrevocably agree that the courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the use of our Services.

14. General Provisions & Contact

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaLenX regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
